Terms and conditions
The rules for using this website and the standard terms behind our SEO services. Your signed proposal sits on top of these and wins if the two ever disagree. Last updated 3 November 2026.
About these terms
These terms are between you and [COMPANY LEGAL NAME], trading as Brit Marketing Agency, a company registered in England and Wales under number [COMPANY NUMBER] with its registered office at [REGISTERED ADDRESS].
Section 1 applies to everyone who uses this website. Sections 2 to 10 apply when you hire us. We sell to businesses, not consumers, so by accepting a proposal you confirm you’re acting for a business.
1. Using this website
You’re welcome to browse and share links to any page. Please don’t copy our content for commercial use, scrape the site, or try to break or overload it.
The information here is general. It isn’t advice for your specific site, and we can’t promise it’s always complete or current. Links to other websites are there for convenience; we don’t control those sites and aren’t responsible for them.
2. Our services
Every engagement starts with a written proposal or statement of work. It sets out the scope, deliverables, timeline, fees and notice period. The contract begins when you accept that proposal in writing (email is fine) or pay the first invoice, whichever comes first.
Work outside the agreed scope is quoted separately. We won’t start it without your written go-ahead.
3. Fees and payment
- Monthly retainers are invoiced in advance at the start of each month.
- Projects are invoiced as set out in the proposal, usually 50% up front and 50% on delivery.
- Invoices are due within 14 days unless the proposal says otherwise. All prices exclude VAT.
- We can pause work on overdue accounts, and may charge statutory interest and compensation under the Late Payment of Commercial Debts (Interest) Act 1998.
- Third-party costs you approve, such as tools, paid placements or content fees, are passed on at cost.
4. Your responsibilities
SEO is a joint effort. To do our part we need you to:
- give us timely access to your website, Google Search Console, analytics and any other agreed platforms
- review and approve work within a reasonable time, normally five working days
- make sure everything you give us (text, images, claims about your business) is accurate and that you have the right to use it
- tell us about changes that affect the work, such as a site rebuild, a migration or another agency touching the site
Delays on your side can push back timelines. They don’t pause fees on a retainer.
5. No ranking guarantees
Google, Bing and AI search tools decide their own results and change how they work without notice. Nobody outside those companies can guarantee a ranking, traffic level or number of leads, and any agency that does is guessing.
What we do promise is to carry out the agreed work with reasonable skill and care, to report honestly on what’s happening, and to tell you early if something isn’t working.
6. Intellectual property
Once an invoice is paid in full, you own the deliverables created for you under it, such as page copy, reports and technical recommendations. We keep ownership of our own methods, templates, tools and know-how, and we may use general learning from the work (never your confidential data) on other projects.
Unless you tell us otherwise, we may name you as a client. We’ll always ask before publishing any results or a case study about your business.
7. Confidentiality and data protection
We keep your business information, logins and data confidential, and we only share them with team members and subcontractors who need them for your project and are bound by the same duty. Where we handle personal data on your behalf, we act as your processor under UK GDPR and will sign a data processing agreement on request. Our privacy policy covers the data we control ourselves.
8. Ending our work
Either side can end a retainer by giving the written notice in the proposal. If the proposal doesn’t say, the notice period is 30 days. Fees cover the notice period, and anything already delivered stays yours once paid.
Either side can end the contract straight away if the other seriously breaches it and doesn’t fix the breach within 14 days of being asked, or becomes insolvent.
When the work ends, we’ll hand back access, return or delete your data as you ask, and pass over any work in progress you’ve paid for.
9. Liability
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law doesn’t let us limit.
Apart from that:
- we aren’t liable for loss of profit, revenue, rankings, traffic, data or goodwill, or for any indirect loss
- we aren’t responsible for changes made by search engines, your hosting provider, other agencies or anyone else outside our control
- our total liability under any contract is limited to the fees you paid us in the three months before the claim
10. General and governing law
We may update these terms. The version on this page when you accept a proposal is the one that applies to that work. If any part of these terms is found to be unenforceable, the rest still applies.
These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction.
